OREGON LIVING SPONSOR AGREEMENT — LUCKY DUCK PRODUCTIONS LLC
This Agreement is made between LUCKY DUCK PRODUCTIONS LLC, an Oregon limited liability company ("Lucky Duck"), publisher of the Oregon Living network of town websites at oregonliving.net, and the business named on this form ("Sponsor"), as of the date signed. Sponsor's choices on this form (package, payment option, social media plan, town and print bundle) are part of this Agreement.
1. What Sponsor gets
1.1 Oregon Living Basic. Sponsor's ad, designed free by Lucky Duck (a print sponsor's print artwork is reused), on Sponsor's town's Oregon Living site and on the neighboring town sites that make sense for Sponsor's customers: a business directory listing (logo, description, phone, map and link) and an ad rotating on the news and story pages. Also: placement on the right sister site where it fits (AdventureOregon.net for outdoor, travel, dining and lodging businesses; KlamathLiving.com for Klamath Basin businesses); Sponsor's share of the town's group Facebook and Instagram campaign promoting the town site; a client login showing where Sponsor's ads run with monthly views and clicks; do-it-yourself tools for Sponsor's Google and Facebook business profiles; and a basic website built and hosted by Lucky Duck while the package is active.
1.2 Oregon Living Boost, Growth and Full Service. Everything in Basic, plus what the package names: Boost adds Sponsor's own Facebook and Instagram campaign ($100 ad spend a month included), Google Business Profile set up and optimized once, and a monthly listings and reviews check; Growth adds a $150 Facebook and Instagram campaign, $150 Google or display ad spend, ongoing Google Business Profile, managed listings and reviews, 8 social media posts a month with replies, and a quarterly strategy call; Full Service is quoted from $899 a month and adds a larger campaign ($300 or more ad spend), 16 posts a month with video, a custom website and a monthly call. Ad spend included in a package is spent on Sponsor's campaigns and is not refunded or carried over if unspent in a month.
1.3 Social media management (on its own or with a package): Social Starter, 8 posts a month on Facebook and Instagram; Social Plus, 12 posts a month, comment and message replies, and one boosted post a month ($50 spend included); Social Pro, 20 posts a month including short video, replies and a monthly campaign ($150 spend included). Sponsor approves every post before it is published. Nothing is posted without Sponsor's approval.
1.4 Lucky Duck designs ads and posts using its own tools (which may include AI tools) and resources, from Sponsor's logo, photos and message.
2. Fees and billing
2.1 Basic: $99 per month on a 12-month term, or $990 paid once for the 12 months. Founding price: the first 10 Basic sponsors in each town pay $79 per month, locked for the 12-month term. Included with print: Basic is included at no charge for as long as Sponsor has a print ad running with Lucky Duck in any magazine Lucky Duck sells into.
2.2 Boost $249, Growth $499 and Full Service from $899 per month, each on a 12-month term. When Sponsor also runs a print ad with Lucky Duck, these prices are 10% off.
2.3 Social Starter $199, Social Plus $399 and Social Pro $699 per month, each on a 12-month term. The setup fee is waived on the 12-month term.
2.4 After Sponsor signs, Troy Miller reviews and confirms the order with Sponsor. Lucky Duck then bills through its accounting system (QuickBooks Online) by recurring invoice, billed monthly in advance (or once, for the yearly Basic option), with card or bank (ACH) payment online and autopay. Nothing is charged before that confirmation. Prices do not include any sales tax that may apply.
2.5 If a payment is more than 10 days late, Lucky Duck may pause Sponsor's ads, listing, campaigns and posting until the account is current. A pause does not extend the term.
3. Term, renewal and cancellation
3.1 The 12-month term runs from the date Sponsor's ad or listing first appears on an Oregon Living site, then continues month to month at the same price until either party cancels with 30 days' written notice; email counts.
3.2 If Sponsor cancels before the 12 months end, Sponsor pays the monthly fees for the rest of the 12-month term, unless Lucky Duck has failed to deliver what this Agreement promises and has not fixed it within 30 days of Sponsor's written notice. A founding or included-with-print price does not change this.
3.3 Basic included with print runs for as long as Sponsor's print agreement runs. When the print agreement ends, Basic ends with it, unless Sponsor chooses a paid package.
3.4 Lucky Duck may end this Agreement with 30 days' written notice, or at once if Sponsor breaks section 5 or 6. Fees already paid for time not yet served are refunded, except where Sponsor broke section 5 or 6.
4. The website
The website is included while a package is active. If the package ends, Sponsor keeps the text and photos Sponsor supplied, and Lucky Duck offers paid hosting.
5. Ads, posts and content rules
5.1 Sponsor supplies or approves its ads, listing and posts. Lucky Duck sends a proof. A proof is approved when Sponsor approves it, or 5 business days after it was sent if Sponsor has not asked for a change. Social media posts are never published until Sponsor approves them.
5.2 Every ad, listing and post must be truthful and lawful. Lucky Duck may decline, edit for fit, pause or remove any ad or content at any time, at its sole discretion, including anything it believes breaks the law, these terms, a platform's rules or a third party's rights. Lucky Duck will tell Sponsor why.
5.3 Lucky Duck decides where ads and listings appear on the Oregon Living sites and may change the sites' design, features and pages at any time. Facebook, Instagram and Google campaigns follow those platforms' own rules and approvals, which Lucky Duck does not control.
6. Names, logos and permission
6.1 Sponsor confirms it owns or has permission to use every name, logo, image, product claim and word it supplies, and grants Lucky Duck a non-exclusive, royalty-free licence to show them on the Oregon Living sites, the sister sites, Sponsor's campaigns and posts, and in screenshots and reports, for the term and for archive copies made during it.
6.2 A business that belongs to a corporation, chain or franchise appears only with the brand owner's written permission. Sponsor provides that permission before anything goes live.
6.3 Lucky Duck Productions LLC owns the Oregon Living sites, their software and the ad designs it makes (Sponsor may use its own ad designs in its own marketing). Sponsor owns its own names, logos and supplied material.
7. No guarantees
7.1 Lucky Duck does not guarantee any number of readers, views, clicks, visits, leads, sales or other results, any placement or position, or that the sites, campaigns or any ad will be available at any particular time or without interruption, error or delay. Counts of views and clicks are Lucky Duck's own measurements or the platforms' reports and are provided for information only.
8. Disclaimer, limitation of liability and indemnity
8.1 THE SITES, THE ADS, THE CAMPAIGNS AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, LUCKY DUCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ANY WARRANTY OF RESULTS.
8.2 NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. LUCKY DUCK'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE FEES SPONSOR PAID IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
8.3 Sponsor will defend, indemnify and hold harmless Lucky Duck, its owners and contractors against any claim, loss or cost (including reasonable attorney fees) arising from Sponsor's ads, content, products, services or claims, or from Sponsor breaking this Agreement.
8.4 Neither party is responsible for delay or failure caused by events beyond its reasonable control (for example outages, fires, storms, government action, or the failure of a hosting, internet or social media provider).
9. General
9.1 Oregon law governs this Agreement; any dispute is heard in Klamath County, Oregon. The party that wins a suit to enforce this Agreement or collect sums due may recover its reasonable costs and attorney fees.
9.2 This is the whole agreement about the Oregon Living package and social media plan chosen here, and changes nothing in any print or magazine agreement. Lucky Duck may update these terms for future terms or renewals with 30 days' notice. If any part is unenforceable, the rest stays in force. Sponsor may not assign this Agreement without Lucky Duck's written consent. Notices go by email to the addresses on this form and to troymiller@luckyduckproductionsllc.com.
9.3 Nothing in this Agreement is legal, tax or financial advice to Sponsor.
